1. Agreement to Terms

These Terms & Conditions (“Terms”) govern the relationship between Vivek Expert (“we”, “us”, “our”), a digital agency operating in Dubai, UAE, and any client or visitor (“you”, “your”) who engages our services or uses our website at vivek.expert. By engaging our services or using this website, you agree to be bound by these Terms.

2. Services

Vivek Expert provides website design and development, mobile app development, search engine optimisation, digital marketing, social media marketing, content writing, performance marketing, and corporate branding services. The specific scope of services for each engagement is defined in a separate Statement of Work (SOW) or project agreement.

We reserve the right to refuse service to any party at our sole discretion.

3. Project Engagement

• All projects commence upon receipt of a signed agreement and the agreed initial deposit payment.
• A detailed project brief, signed by the client, is required before work begins.
• Timelines quoted are estimates based on the agreed scope. Changes to scope may affect timelines and cost.
• The client is responsible for providing timely feedback, approvals, and required materials. Delays caused by the client may extend project timelines without penalty to Vivek Expert.

4. Payment Terms

• All fees are quoted and invoiced in UAE Dirhams (AED) unless otherwise agreed in writing.
• Standard payment terms are 50% deposit upon project commencement and 50% upon project completion, unless otherwise specified in the project agreement.
• Invoices are due within 7 days of the invoice date.
• Late payments may incur a 2% monthly interest charge on the outstanding balance.
• Work may be paused or withheld if payment is not received by the due date.

5. Intellectual Property

• Upon full payment, the client receives full ownership of all bespoke design and code created specifically for their project.
• Third-party components, fonts, plugins, stock images, or licensed software remain subject to their respective licences and are not transferred to the client.
• Vivek Expert retains the right to display completed work in our portfolio unless the client requests otherwise in writing before project commencement.
• We retain ownership of all preliminary designs, concepts, and drafts not selected for the final deliverable.

6. Revisions & Scope Changes

Each project agreement includes a defined number of revision rounds. Revisions beyond the agreed scope will be quoted and invoiced separately. Scope changes — including additions, alterations, or removals of features after the project brief has been signed — will be handled via a Change Order and may affect both cost and timeline.

7. Cancellation & Refunds

• If the client cancels a project after commencement, the deposit is non-refundable. Any work completed beyond the deposit value will be invoiced at the agreed hourly rate.
• If Vivek Expert is unable to complete a project due to circumstances on our side, a pro-rata refund will be issued for work not yet completed.
• Refund requests are assessed on a case-by-case basis. We do not offer refunds for work already delivered and approved by the client.

8. Confidentiality

Both parties agree to keep confidential any proprietary information, trade secrets, or sensitive business information shared during the project. This obligation continues for two years after project completion.

9. Limitation of Liability

To the fullest extent permitted by UAE law, Vivek Expert's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim.

We are not liable for indirect, incidental, or consequential losses including lost profits, loss of data, or business interruption, even if advised of the possibility of such damages.

10. Governing Law

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

11. Changes to Terms

We reserve the right to update these Terms at any time. The updated version will be posted on this page with a revised date. Continued engagement of our services after any changes constitutes acceptance of the new Terms.
